HCB User Agreement and Terms of Service

1. About HCB
HCB is a technology platform designed to support professional development, employee assessment, workforce management, organizational performance, professional knowledge, and related workplace processes. Depending on your account and the Services enabled for you, HCB may provide professional profiles, professional experience, skills and competencies, Domain Knowledge, Domain Knowledge sub-domains, Domain Knowledge ratings, employee connections, personality assessments, behavioural assessments, cognitive assessments, technical assessments, competency assessments, KPI management, KRA management, self-assessments, work reports, attendance workflows, attendance approvals, performance reviews, feedback, employee development tools, organizational dashboards, analytics, recommendations, and other features introduced by HCB.
2. Definitions
“Account” means your registered HCB account. “Assessment” means any personality, behavioural, cognitive, technical, professional, competency, or other assessment made available through HCB. “Organization” means an employer, prospective employer, educational institution, business, customer, or other entity using HCB. “Organization Workspace” means the HCB environment administered or controlled by an Organization. “Personal Information” means information relating to an identified or identifiable individual, as defined under applicable privacy law. “User Content” means information, documents, responses, ratings, feedback, professional information, reports, and other content submitted or generated by a User through HCB. “Domain Knowledge” means professional or business knowledge, expertise, skills, or experience identified by a User through HCB. “Organization Administrator” means an authorized representative of an Organization who has administrative permissions within an Organization Workspace.
3. Eligibility
You may use HCB only if you are legally capable of entering into this Agreement, information provided by you is accurate and complete, your use of HCB complies with applicable law, and you meet any minimum age or other eligibility requirement applicable to the Services. If you use HCB on behalf of an Organization, you represent that you have authority to act on behalf of that Organization.
4. Account Registration
You agree to provide accurate, current, and complete information when creating and maintaining your Account. You must promptly update information that becomes inaccurate. You may not create an Account using false information, impersonate another person, create fraudulent Accounts, create an Account on behalf of another person without authorization, use another person’s credentials, or provide false information to an Organization through HCB.
5. Account Security
You are responsible for maintaining the confidentiality of your Account credentials, protecting authentication methods and devices, and promptly notifying HCB if you believe your Account has been compromised. You are responsible for activity performed through your Account unless the activity resulted from HCB’s failure to maintain reasonable security.
6. Personal HCB Account and Organization Workspace
HCB may operate through a Personal HCB Account and an Organization Workspace. Your Personal HCB Account may contain your professional profile, skills, Domain Knowledge, professional experience, assessments, ratings, and other information you provide. An Organization Workspace may contain employee information, department, role, reporting relationship, KPI, KRA, work reports, attendance, performance reviews, assessments, feedback, and professional development information. Information available to an Organization depends on the Services, permissions, Organization configuration, applicable agreement, and applicable law.
7. Data Roles and Responsibility
HCB’s role in processing information may differ depending on the Service. For personal HCB Account information, HCB may determine the purposes and means of processing subject to applicable law. Where an Organization determines the purposes for which employee or Organization information is processed, the Organization may act as the relevant controller or equivalent responsible party, while HCB may process that information on the Organization’s behalf under applicable contractual arrangements. Organizations are responsible for configuring their HCB Workspace appropriately and for ensuring their use of HCB complies with applicable employment, privacy, discrimination, accessibility, and workplace laws.
8. Organization Administrator Access
Organization Administrators may receive access to information within an Organization Workspace according to assigned permissions. Depending on configuration, authorized personnel may access employee profiles, professional information, Domain Knowledge, Domain Knowledge ratings, assessment participation, assessment results, KPI, KRA, work reports, attendance information, performance reviews, feedback, and other Organization-related information. Organization Administrators must use information only for authorized and lawful purposes.
9. Organization Connection and Data Sharing
You may be invited to connect your HCB Account with an Organization. Before certain information is shared, HCB may display a notice identifying the Organization, information categories, purpose of sharing, recipients or recipient categories, applicable retention information, and whether separate consent is required. Where applicable law requires consent, HCB will obtain consent before the relevant processing. Acceptance of this Agreement does not automatically constitute consent to every optional or separately regulated data-sharing activity.
10. Organization Access Changes and Offboarding
An Organization may change your access when you change department, manager, role, employment status, or other relationship with the Organization. If your relationship with an Organization ends, your access to the Organization Workspace may be suspended or terminated. Historical Organization records may remain available to authorized Organization personnel where permitted or required by applicable law, contract, policy, or legitimate business purpose. Your personal HCB Account, where applicable, may continue independently.
11. Domain Knowledge
HCB allows Users to create professional Domain Knowledge profiles. A User may identify primary domains, sub-domains, skills, technologies, professional experience, projects, descriptions, certifications, and other relevant information. Domain Knowledge information may be visible to connected Users or Organizations according to applicable privacy and visibility settings.
12. Domain Knowledge Ratings
Where enabled, connected employees or other authorized Users may rate a User’s Domain Knowledge, including on a 1–5 star scale. HCB may calculate aggregate ratings. Users must not submit fraudulent ratings, create Accounts to manipulate ratings, pressure another User to provide a particular rating, retaliate against another User because of a rating, coordinate artificial rating activity, or submit ratings unrelated to the relevant Domain Knowledge. HCB may investigate, suppress, remove, or invalidate ratings that appear fraudulent, manipulated, abusive, discriminatory, or otherwise unreliable.
13. Assessments
HCB may provide personality, behavioural, cognitive, technical, professional knowledge, competency, problem-solving, or other assessments. Assessment results are intended to provide information or insights relevant to the applicable purpose. Assessment results are not, by themselves, medical diagnoses, psychological diagnoses, guarantees of employment, promotion, compensation, or job performance, or substitutes for professional judgment.
14. Assessment-Specific Notices and Consent
Certain Assessments may be subject to a separate Assessment Privacy Notice or consent screen. Such notice may explain the information collected, purpose of processing, recipients, retention period, camera or microphone requirements, automated processing, and applicable rights. Where separate consent is legally required, HCB will request it separately.
15. Assessment Integrity
Users must complete assessments honestly and in accordance with instructions. You must not impersonate another person, allow another person to complete an assessment on your behalf, obtain unauthorized assistance, share assessment questions without authorization, record or distribute confidential assessment content, manipulate assessment results, use unauthorized tools where prohibited, interfere with assessment technology, or circumvent assessment security controls. HCB may investigate irregularities and may flag, invalidate, or require reassessment where permitted.
16. Camera, Video and Proctored Assessments
Certain Assessments may require camera access. Depending on the Assessment, HCB may process camera input, photographs, video, captured frames, device information, browser information, assessment activity, timing information, identity-verification information, or other assessment-integrity information. Before a camera-enabled Assessment, HCB will provide applicable information about the processing. Where required by law, HCB will obtain separate consent. Camera access may be required to participate in certain Assessments.
17. Microphone and Audio
Certain Assessments may require microphone access. Where applicable, HCB will explain why microphone access is required, whether audio is captured or recorded, whether it is stored, who may receive it, and how long it may be retained. HCB will obtain separate consent where required by law.
18. Biometric and Identity-Verification Information
If a particular HCB feature uses facial matching, liveness detection, biometric identifiers, or another form of biometric processing, HCB will provide a separate notice describing the relevant processing before it occurs and will obtain any consent or other lawful authorization required by applicable law. Camera access alone does not mean biometric information is collected.
19. Device Permissions
Depending on the Services you use, HCB may request access to camera, microphone, notifications, files, photos, device information, browser information, location, or other device capabilities. Permissions are requested based on the requirements of the relevant feature and may be managed through your device or browser settings.
20. Consent Management
HCB may obtain consent separately for camera access, microphone access, assessment processing, sharing information with an Organization, marketing, non-essential cookies, biometric or identity-verification processing where applicable, and other activities requiring consent. Consent to one purpose does not automatically constitute consent to another. Where consent is the legal basis, HCB will provide a reasonable mechanism to withdraw consent. Withdrawal does not invalidate processing lawfully performed before withdrawal.
21. Consent Records
Where applicable, HCB may maintain records of consent, including consent type, purpose, date and time, version of the applicable notice, information categories involved, Organization involved where applicable, withdrawal date, and other information necessary to demonstrate or administer consent. Consent records may be retained as reasonably necessary to establish compliance, resolve disputes, or satisfy legal obligations.
22. User Content and Limited License
You retain rights in your User Content to the extent provided by applicable law. You grant HCB a limited, non-exclusive, worldwide license to host, store, reproduce, transmit, display, format, and otherwise process your User Content only as reasonably necessary to operate, secure, maintain, support, and improve the Services, fulfill your requests, provide authorized Organization functionality, and comply with legal obligations. HCB does not claim ownership of your Personal Information merely because it is processed through HCB.
23. Work Reports, KPI, KRA and Attendance
HCB may provide workplace management functionality, including KPI, KRA, work assignments, daily reports, report approvals, attendance, attendance approval, performance reviews, self-assessments, and feedback. HCB facilitates these processes but does not independently make employment decisions. Organizations remain responsible for decisions relating to hiring, promotion, compensation, performance, disciplinary action, attendance, termination, and other employment matters.
24. Employment Decisions and Fair Use
HCB does not guarantee that an assessment, rating, score, recommendation, or other output is appropriate as the sole basis for an employment decision. Organizations are responsible for using HCB information in accordance with applicable employment, privacy, anti-discrimination, accessibility, and other laws and should use appropriate human judgment when making significant employment decisions.
25. AI and Automated Processing
HCB may use artificial intelligence or machine-learning systems for certain Services, including scoring, organization of information, summaries, recommendations, pattern identification, reports, assessment support, or professional insights. Where required by law, HCB will provide information about relevant automated processing and applicable rights. Automated outputs should not be interpreted as an independent determination of an individual’s suitability, character, ability, or employment status unless expressly stated and lawfully permitted. Organizations remain responsible for employment decisions made using HCB outputs.
26. Confidential Assessment Materials
Assessment questions, scoring methodologies, evaluation criteria, assessment content, and related materials may be confidential or proprietary. You must not copy, photograph, record, distribute, publish, or reverse engineer assessment materials or methodologies except where expressly permitted by HCB or applicable law.
27. Feedback and Reviews
Users may provide feedback, ratings, reviews, or professional observations where enabled. Such information must be genuine, relevant, reasonably based on experience, lawful, non-discriminatory, and free from harassment or abuse. HCB may moderate or remove content that violates this Agreement.
28. Acceptable Use
You may not use HCB to violate applicable law; infringe another person’s rights; impersonate another person; submit fraudulent information; manipulate assessment results or ratings; access information without authorization; reverse engineer the Services except where legally permitted; interfere with HCB infrastructure; introduce malicious software; conduct unauthorized scraping; bypass security controls; upload unlawful or abusive content; misuse Personal Information; conduct unauthorized surveillance; or facilitate unlawful discrimination.
29. Intellectual Property
HCB and its licensors retain all rights in software, platform architecture, interfaces, designs, trademarks, logos, documentation, graphics, databases, algorithms, assessment materials, templates, reports, and other HCB materials. Except where expressly permitted, you may not reproduce, modify, distribute, sell, lease, sublicense, or commercially exploit HCB materials.
30. Third-Party Services
HCB may use third-party providers for hosting, cloud infrastructure, storage, authentication, communications, analytics, assessment technology, security, customer support, monitoring, and other operational services. These providers may process information on HCB’s behalf where necessary to provide the Services. HCB will take appropriate steps to require applicable service providers to protect information consistent with applicable contractual and legal requirements.
31. Privacy
The collection, use, disclosure, retention, and protection of Personal Information are governed by the HCB Privacy Policy. Additional privacy notices may apply to Assessments, camera-enabled Assessments, Organization Workspaces, cookies, specific jurisdictions, and other Services.
32. Security
HCB maintains reasonable technical and organizational safeguards designed to protect information. These may include access controls, authentication, encryption where appropriate, logging, monitoring, secure infrastructure, vulnerability management, personnel controls, and incident-response procedures. No electronic system can be guaranteed to be completely secure.
33. Security Incidents
If HCB becomes aware of a security incident involving Personal Information, HCB will assess and respond to the incident. Where required by applicable law, HCB will provide notifications to affected parties, Organizations, regulators, or other relevant parties within applicable legal requirements.
34. Data Retention
HCB retains information for only as long as reasonably necessary for the applicable purposes, unless longer retention is required or permitted by law. Retention periods may differ by information type and may depend on Account status, Organization requirements, contractual obligations, security needs, disputes, and legal requirements. HCB may maintain separate retention schedules or notices for Account data, Assessment results, camera or video information, attendance, work reports, performance records, consent records, and security logs.
35. Account Deletion
You may request deletion of your personal HCB Account where the feature is available or by contacting HCB through the applicable support or privacy channel. Account deletion may result in removal or anonymization of information that HCB is not required or permitted to retain. Deletion of a personal Account does not necessarily require immediate deletion of Organization-controlled records, information required for legal or security purposes, or information that must be retained under applicable contractual obligations. HCB may retain limited information where necessary for legal compliance, security, fraud prevention, accounting, audit, disputes, or establishment or defense of legal claims.
36. Service Availability
HCB may modify, suspend, restrict, or discontinue Services and may perform maintenance, updates, security improvements, and other operational activities. HCB does not guarantee uninterrupted or error-free availability.
37. Fees
Certain Services may be free while others may require payment. Applicable pricing, billing, subscription, cancellation, and refund terms will be provided before purchase. Unless otherwise stated or required by law, fees are non-refundable.
38. Suspension and Termination
HCB may suspend or terminate access where reasonably necessary to enforce this Agreement, comply with law, protect Users, protect HCB, prevent fraud, address security risks, investigate misuse, or protect assessment integrity. You may stop using HCB at any time. Termination does not automatically require immediate deletion where information must or may lawfully be retained.
39. Privacy Requests, Complaints and Review
If you believe information associated with your Account is inaccurate, a rating is fraudulent, an assessment result is incorrect, information has been improperly accessed, or a Service has been used improperly, you may contact HCB through the applicable support or privacy channel. Depending on the issue, you may request correction, access, clarification, deletion where legally available, investigation, review, or other appropriate action. Where an Organization determines the purposes of processing or controls the relevant employee information, you may need to submit the request to that Organization.
40. Disclaimer
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis. HCB does not guarantee that Services will always be available, error-free, that Assessment results or ratings will be perfectly accurate, that User-provided information will be accurate, that automated outputs will always be accurate, or that Services will satisfy every business or employment requirement. Nothing in this Agreement excludes a warranty or right that cannot legally be excluded.
41. Limitation of Liability
To the maximum extent permitted by applicable law, HCB will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from use of the Services. Nothing in this Agreement excludes or limits liability that cannot legally be excluded or limited.
42. Indemnification
To the extent permitted by applicable law, you agree to indemnify HCB against claims, liabilities, losses, and expenses arising from your violation of this Agreement, unlawful use of the Services, infringement of third-party rights, or User Content that violates applicable law or third-party rights.
43. Changes to this Agreement
HCB may update this Agreement from time to time. For material changes, HCB may provide notice through the Services, email, Account notifications, or another appropriate method. The Effective Date and Last Updated dates identify the applicable version. Where required by law, HCB may request renewed acceptance.
44. Governing Law and Disputes
This Agreement is governed by the laws of [Applicable Jurisdiction], except where mandatory law provides otherwise. Disputes will be handled through [Applicable Courts or Arbitration Process] in [Applicable Location], subject to applicable law.
45. General Terms
If any provision is found invalid or unenforceable, the remaining provisions remain effective. Failure to enforce a provision does not constitute a waiver. This Agreement, together with the HCB Privacy Policy and applicable feature-specific notices, constitutes the agreement governing your use of HCB.
46. Contact
For legal, privacy, or support matters, use the official contact details published by HCB in the applicable Legal or Contact section of the HCB website or application. Where HCB is legally required to identify a specific legal entity, registered address, privacy contact, or data protection officer, those details will be provided in the applicable notice.
47. Acceptance
By selecting “I Agree,” creating an Account, or using HCB, you confirm that you have read and understood this Agreement, agree to comply with this Agreement, have reviewed the HCB Privacy Policy, and understand that certain Services may require additional permissions, notices, or separate consent.
